Closed Beta Terms

The agreement governing invited adult users who test Saelia's account, archive, transcription and private Voice Identity features.

1. Agreement and operator

These terms form an agreement between the invited user and Convallaria S.r.l., Via Santa Elisabetta 8, 24121 Bergamo (BG), Italy, VAT IT04585850169 for access to the Saelia closed beta. By creating an account, the user accepts these terms and the Saelia Acceptable Use Policy and acknowledges the Privacy Policy.

2. Eligibility and invitations

The beta is for natural persons aged 18 or over who receive a personal invitation. Account information must be accurate. Invitations and accounts are personal, non-transferable and may not be sold or shared. A person accepting for an organization represents that they have authority to do so; otherwise the account is personal.

3. Beta service

Saelia currently provides an account, private text and audio archive, mood check-ins, transcription, local AI-assisted organization, data controls, optional Voice Identity and selected dashboard previews. Beta features may change, be incomplete, have limited capacity or be removed.

Coming-soon modules are product concepts only and do not create operational, medical, financial, inheritance, identity-verification, payment, post-mortem or continuity services.

4. Account security

Users must protect passwords, two-factor recovery codes and devices, use the account only for themselves, and report suspected unauthorized access promptly. Saelia may revoke sessions, require a password reset, suspend access or take other proportionate measures to protect the account or service. Optional two-factor authentication is strongly recommended.

5. User content and permission to process it

Users retain their rights in recordings, notes and other input they provide. The user grants Convallaria and its contracted processors a limited, non-exclusive permission to host, copy, transmit, transcribe, analyze, generate requested output from, back up, export and delete that content only as needed to provide, secure and support the selected beta features.

This permission ends when the content is deleted, subject to temporary backups, legal retention and processor deletion cycles described in the Privacy Policy.

6. Rights and responsibilities for content

Users must have all rights, notices and permissions required for submitted content. They must not upload another person's confidential, copyrighted, biometric, health or voice data without a lawful basis and required authorization.

Recording laws vary by location; the user is responsible for obtaining consent from every person whose communication is recorded where required. Saelia may remove content or restrict processing where there is a credible rights, safety or legal concern.

7. Voice Identity and synthetic output

Voice cloning requires separate explicit consent from the voice owner and is limited in the beta to the authenticated account holder's own voice. Users must not create, request or use a voice model to impersonate, deceive, defraud, harass or attribute statements to another person.

Synthetic audio must be clearly treated and disclosed as AI-generated when shared or played to another person. Revoking Voice Identity removes access to future generation and triggers the deletion workflow described in the Privacy Policy.

8. Acceptable use

The Saelia Acceptable Use Policy is incorporated into these terms. Prohibited conduct includes unlawful use, unauthorized access, malware, evasion of safeguards or quotas, non-consensual surveillance, fraud, harmful impersonation, child exploitation, harassment, discrimination, manipulation, and use of Saelia output for high-impact decisions about another person. Users must also comply with applicable third-party provider rules.

9. AI limitations and human review

Transcripts, summaries, mood labels, tags, recommendations and synthetic speech may contain errors. Users must review output before acting on or sharing it.

Saelia is not a medical device, emergency service, mental-health professional, legal adviser, financial adviser, identity authority or substitute for qualified care. In an emergency, users should contact local emergency services or an appropriate professional.

10. Privacy and optional features

Personal data is handled under the Saelia Privacy Policy. Accepting these terms does not activate optional Voice archive, Voice Identity, biometric, research or continuity processing. Each available optional purpose requires its own interface and can be declined or withdrawn without losing unrelated account functions.

11. Service limits and availability

Saelia may apply reasonable limits to storage, file size, recording duration, processing, synthesis, invitations and API usage. Planned maintenance, provider outages, internet failures and beta defects may interrupt service.

Convallaria will use reasonable care but does not promise uninterrupted availability, permanent preservation or error-free output. Users should keep independent copies of material they cannot afford to lose.

12. Saelia intellectual property

Saelia, its software, interface, brand, models, documentation and non-user content are owned by Convallaria or its licensors. The beta grants a personal, limited, revocable, non-exclusive and non-transferable right to use the service for its intended testing purpose.

Users may not copy, resell, sublicense, scrape, reverse engineer, bypass technical controls or create a competing service from protected parts of Saelia except where a non-waivable law expressly permits it.

13. Third-party services

Some features depend on third parties, including ElevenLabs. Their outages, limits and policies may affect Saelia. Users do not receive direct control of Convallaria's provider accounts or API credentials. Use of third-party processing is described in the Privacy Policy and remains subject to the safeguards and limitations of those services.

14. Feedback

Users may provide feedback voluntarily. Convallaria may use non-confidential feedback to improve Saelia without payment or obligation, but this does not grant rights over the user's archive, identity or voice. Users should not include third-party confidential information in feedback.

15. Suspension and termination

Convallaria may proportionately restrict, suspend or terminate access for a material breach, credible safety or security risk, unlawful activity, provider-policy violation, non-payment of a future paid service, or where required by law. Where appropriate, notice and an opportunity to remedy will be provided. Users may stop using the beta and request account deletion at any time.

16. Deletion and survival

Deletion follows the recovery periods and provider limitations in the Privacy Policy. Provisions concerning intellectual property, accrued rights, acceptable use, liability, legal evidence and dispute resolution survive where their nature requires it. Account deletion does not require Convallaria to erase records that lawfully must be retained for legal obligations or claims.

17. Warranty disclaimer

The beta is provided on an evolving, as-available basis. To the maximum extent permitted by applicable law, Convallaria disclaims implied warranties that are not mandatory. This clause does not limit statutory conformity rights or other protections that cannot be waived for consumers.

18. Liability

Nothing excludes or limits liability for fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, breach of mandatory data-protection duties, or any liability that cannot legally be excluded.

Subject to those limits and to applicable consumer law, Convallaria is not responsible for indirect or unforeseeable losses caused by user misuse, unreviewed AI output, third-party outages, or failure to keep an independent copy of important content.

19. Changes

Material changes receive a new version. Existing users will be notified and, where required, asked to accept updated terms before continued use. Changes do not retroactively remove accrued mandatory rights.

20. Governing law, disputes and contact

Italian law governs these terms, without depriving consumers of mandatory protections in their country of residence. Courts are determined under applicable law; consumers retain any mandatory right to bring proceedings in their home jurisdiction.
